End User License Agreement (EULA) for Simpleflow Process Hub

Simpleflow is a product developed and owned by Intersect Cloudware Solutions (PTY) Ltd

 

1. Introduction

This End User License Agreement ("EULA") governs the use of the Simpleflow Process Hub ("Simpleflow"), a software-as-a-service (SaaS) application developed by Intersect Cloudware Solutions (PTY) Ltd("we," "us," "our"). Simpleflow provides features including document management, task management, in-platform messaging, mobile app integration, forms automation, notifications, reporting, analytics, and collaboration tools for suppliers and customers. 

 

By using Simpleflow, you ("the user," "client") agree to be bound by the terms of this EULA. If you do not agree, do not use Simpleflow.

 

2. License Grant

Subject to the terms of this EULA, we grant you a non-exclusive, non-transferable, revocable license to access and use Simpleflow for your business purposes. The license is granted for the duration of your subscription to Simpleflow.

 

3. Non-Ownership and License Restrictions

This EULA does not transfer any ownership rights in Simpleflow or any related intellectual property to you. All rights, title, and interest in and to Simpleflow remain with Intersect Cloudware Solutions (PTY) Ltd. 

 

You agree not to:

 

•  Modify, copy, or create derivative works based on Simpleflow.

•  Reverse engineer, decompile, or disassemble Simpleflow.

•  Rent, lease, or sell access to Simpleflow.

 

 4. Mobile Application

Simpleflow includes a mobile application that is uniquely branded and published for each client. You are licensed to use the mobile application for your business needs. However, the branding and customization of the mobile application do not grant you any ownership rights in the software or the platform.

 

5. Licensors

Simpleflow may include certain third party software components that are licensed under separate terms. Your use of these components is subject to their respective licenses. We acknowledge the licensors of these tools and comply with their terms. By using Simpleflow, you agree to comply with any applicable licensing as stated.

 

6. Data Ownership and Security

You retain ownership of any data you input into Simpleflow. We do not claim ownership of your data. However, you grant us a license to use, store, and process your data for the purpose of providing and improving Simpleflow.

We will take reasonable measures to protect your data, but we cannot guarantee absolute security. You are responsible for maintaining the confidentiality of your login credentials.

 

7. Termination

This EULA is effective until terminated. Your rights under this EULA will terminate automatically without notice if you fail to comply with any term(s) of this agreement. Upon termination, you must cease all use of Simpleflow.

 

 8. Disclaimer of Warranties

Simpleflow is provided "as is" and "as available" without any warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that Simpleflow will be uninterrupted or error-free.

 

9. Limitation of Liability

In no event shall Intersect Cloudware Solutions (PTY) Ltd be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of Simpleflow. Our total liability for any claims under this EULA shall not exceed the amount paid by you for Simpleflow in the twelve (12) months preceding the claim.

 

10. Governing Law

This EULA shall be governed by and construed in accordance with the laws of the Republic of South Africa. Any disputes arising under this EULA shall be subject to the exclusive jurisdiction of the courts located in Johannesburg, South Africa.

 

11. Updates and Modifications

We reserve the right to update or modify this EULA at any time. We will notify you of any changes, and your continued use of Simpleflow after such changes constitutes your acceptance of the updated EULA.
